Terms of Service

These Terms of Service (the “Terms”) govern access to and use of GovRedact, an AI-assisted redaction platform for Subject Access Requests (SARs) and Freedom of Information (FOI) requests, operated by Cloudy Group Ltd (trading as CloudyIT), a company registered in England & Wales under company number 04997628 (“CloudyIT”, “we”, “us”). By accessing GovRedact, your organisation (the “Customer”, “you”) agrees to these Terms.

1. The agreement

These Terms, together with the Data Processing Agreement, the Privacy Policy, the Cookie Policy and any order form or written quotation we agree with you, form the entire agreement between you and CloudyIT for GovRedact (the “Agreement”). Where an order form conflicts with these Terms, the order form prevails for the matter in question.

2. The service

GovRedact helps public authorities receive, triage, redact and disclose information in response to SAR and FOI requests, using a combination of workflow tooling and AI-assisted redaction proposals. AI proposals are decision support only: a suitably trained member of your staff remains responsible for reviewing and approving every redaction and every disclosure before it is released. We do not warrant that AI proposals are complete or error-free.

3. Accounts, access and authorised users

  • Access is via Microsoft Entra ID single sign-on. You are responsible for managing your own users, their roles, and their continued eligibility to access the platform.
  • You must keep credentials secure, enable multi-factor authentication in your tenant, and promptly deprovision users who leave or change role.
  • You are responsible for all activity carried out under your organisation's account.

4. Acceptable use

You agree not to, and not to permit any user to:

  • use GovRedact for any unlawful purpose, or in breach of data protection law;
  • upload content you are not authorised to process, or that contains malware or unlawful material;
  • attempt to gain unauthorised access to, probe, or disrupt the platform or other tenants;
  • reverse engineer, resell, or provide the service to third parties except as expressly permitted; or
  • circumvent usage, credit or rate limits.

5. Customer data and your responsibilities

You retain all rights in the data you upload (“Customer Data”). As between the parties, you are the data controller and CloudyIT is your processor for personal data contained in Customer Data; that relationship is governed by the Data Processing Agreement. You are responsible for having a lawful basis to upload and process Customer Data and for the accuracy of your disclosure decisions.

6. Fees, credits and billing

Paid features (including chargeable processing runs) are billed in credits or by subscription as set out in your order form. Card payments are handled by our payment processor, Stripe. Fees are exclusive of VAT unless stated. Except where required by law, fees are non-refundable once a chargeable run has started.

7. Availability and support

We aim to provide a reliable service but do not guarantee uninterrupted availability. Planned maintenance is carried out with reasonable notice where practicable. Support is available at support@cloudyit.co.uk. Where a separate service level agreement is in place, it applies in addition to these Terms.

8. Intellectual property

CloudyIT and its licensors own all rights in the GovRedact platform, software and documentation. We grant you a non-exclusive, non-transferable right to use GovRedact during the term solely for your internal information-rights functions.

9. Confidentiality

Each party will keep the other's confidential information confidential and use it only to perform the Agreement. This does not apply to information that is public through no fault of the receiving party, or that must be disclosed by law (including under FOI, subject to applicable exemptions).

10. Warranties and disclaimers

We warrant that we will provide GovRedact with reasonable skill and care. Except as expressly stated, the service is provided “as is” and we disclaim all other warranties to the fullest extent permitted by law. AI-assisted output does not replace professional judgement or legal advice.

11. Liability

Nothing in the Agreement limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded. Subject to that, neither party is liable for indirect or consequential loss, and each party's total liability in any twelve-month period is limited to the fees paid by you for GovRedact in that period. Liability relating to the processing of personal data is addressed in the Data Processing Agreement.

12. Suspension and termination

We may suspend access where required to protect the platform, other customers, or to comply with law, or where fees are overdue. Either party may terminate for material breach not remedied within 30 days of written notice. On termination, your right to use GovRedact ends and Customer Data is dealt with in accordance with the Data Processing Agreement.

13. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will give notice and may require an authorised administrator of your organisation to accept the updated Terms before continued use.

14. Governing law

The Agreement is governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
